Inc. in Delaware. Plant in St. Cloud, Minnesota. No. 43772, issued for 5 shares to TJ Rhoads on May 31st, 1919. Signed by president Samuel C. Pandolfo and secretary John Barrit. Not cancelled. Green border, black print and three vignettes: touring car plus two vignettes featuring the company logo. Printed by Fritz-Cross Co., Chicago. 8.5 x 11"Folds, some toning. Started in 1917 by Pandolfo, though there were problems from the start. The stock highlights this when it says shares are $5 each when Pandolfo was really charging $10, funneling money away from the capital fund. Pandolfo spent a ton of money advertising the company, while presenting preassembled cars and not producing any of their own. The factory in St. Cloud was completed in 1919. They produced the Pan Model A Touring Car, not preassembled, and the 1919 Pan Tourist Sleeper. However, eventually Pandolfo's mistakes caught up to him. The Associated Advertising Club of Minneapolis, a forerunner of the Better Business Bureau, lodged a complaint with the State Securities Commission claiming the company was spending more on promotion than its Minnesota charter permitted. By 1922, Pandolfo was in jail and the company was in receivership. Ken Prag Collection
